EarthExchange ("Service", "Platform") is an automated trading software platform operated as a sole proprietorship. The Service provides software tools that allow users to connect third-party brokerage accounts (such as Alpaca) and execute automated trading strategies using algorithms based on technical indicators.
EarthExchange is NOT a registered investment advisor, broker-dealer, financial planner, or any other type of financial professional. Nothing on this platform constitutes financial, investment, trading, or any other form of advice. The Service is purely software automation. All trading decisions are made by algorithms you configure, not by EarthExchange or its operator. You are solely responsible for all trading activity conducted through your connected accounts.
Trading financial instruments including cryptocurrencies, stocks, and other assets involves substantial risk of loss and is not appropriate for every investor. You acknowledge and agree that:
You must be at least 18 years of age and legally permitted to trade financial instruments in your jurisdiction to use this Service. By registering, you represent and warrant that you meet these requirements. The Service is not available to residents of jurisdictions where automated trading software is prohibited.
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. EarthExchange stores your brokerage API keys in our database. However, EarthExchange cannot guarantee absolute security and is not liable for unauthorized access to your account or connected brokerage accounts. We strongly recommend using API keys with trading permissions only, not withdrawal permissions.
Access to the Service requires a paid subscription of $5.00 USD per month, processed via PayPal. Subscriptions automatically renew each month. You may cancel at any time through your account settings or PayPal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. EarthExchange reserves the right to change pricing with 30 days written notice.
The Service integrates with third-party platforms including Alpaca Securities LLC and PayPal. Your use of those services is governed by their respective terms. EarthExchange is not affiliated with, endorsed by, or responsible for Alpaca, PayPal, or any other third-party service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EARTHEXCHANGE AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR ANY OTHER LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL LIABILITY OF EARTHEXCHANGE TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless EarthExchange and its operator from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
EarthExchange may terminate or suspend your account at any time for violation of these Terms, fraudulent activity, or for any other reason at its discretion. Upon termination, your right to use the Service immediately ceases.
EarthExchange reserves the right to modify these Terms at any time. Changes will be posted on the platform and you will be notified by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Oregon. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
